These Terms of Service constitute a legally binding agreement between you and SimplyPML LLC, governing your access to and use of our website, products, services, and applications (collectively, the “Services“).

IMPORTANT: Section 12 contains an arbitration clause and class action waiver. By using our Services, you agree to resolve all disputes with SimplyPML through binding individual arbitration, waiving your right to a judge or jury, as well as class action or arbitration participation.

Who We Are & What We Do (And Don’t Do)

We are SimplyPML LLC (“SimplyPML”, “we”, “us”, or “our”). Our platform serves as an online marketplace connecting lenders and borrowers for private money lending opportunities. We provide access to loan listings through our website, services, and applications (collectively, the “Services“).

Please note:
SimplyPML does not lend funds, purchase properties, or facilitate any direct transactions between users. We do not provide financial, legal, or advisory services. We are not a broker and do not offer services typically provided by brokers. Any agreements between lenders and borrowers are solely between those parties, and SimplyPML is not a party to such transactions. We disclaim any and all liability arising from or related to these transactions.

Who You Are

“You” refers to any individual, business, or legal entity using our Services. This includes users who:

– Browse listings without creating an account.
– Create accounts to engage with loan listings as lenders (“Lender“) or submit lending opportunities as borrowers (“Borrower“).
– To use our Services, you must be at least 18 years old and have the authority to enter into this agreement. If you are accessing the Services on behalf of an organization, you represent and warrant that you have the legal authority to bind that organization to these Terms.

1. Use of the Services; Accounts.

Access and Use:

Subject to compliance with these Terms, we grant you a limited, non-exclusive, and revocable right to access and use the Services.

Restrictions:

You agree not to:
– Copy, modify, or create derivative works of the Services or listings.
– Sell, license, or transfer the Services.
– Attempt to reverse-engineer or access any underlying software.
– Use the Services to compete with us or violate any laws or intellectual property rights.

Account Creation:

Certain features require you to create an account, provide accurate information, and maintain the confidentiality of your login credentials. You may not impersonate others or transfer your account without our permission.

2. Marketplace

Our platform connects lenders with borrowers but does not act as a broker, agent, or financial advisor. The information provided through the Services is for informational purposes only, and you are responsible for conducting your own due diligence.

3. Confidential Information

Any confidential information shared through the platform must be kept secure and only used for evaluating a potential transaction.

4. Subscription Services & Payments

We may offer subscription-based services with recurring payments. You agree to pay all fees and taxes and are responsible for canceling your subscription before the renewal date to avoid additional charges.

5. Intellectual Property & Feedback

SimplyPML owns all rights to the Services and their content. By providing feedback, you grant us the right to use it without compensation.

6. Limitation of Liability

To the fullest extent permitted by law, SimplyPML shall not be liable for any indirect, incidental, or consequential damages arising from the use of our Services.

7. Arbitration & Dispute Resolution

All disputes will be resolved through binding arbitration, and you waive your right to participate in class actions. Arbitration will occur in [City, State], under [Arbitration Service] rules.
